SEBI has increased the International Securities Identification Number (ISIN) issuance limit for private placement debt securities and exempted GoI EBR and ESG debt from these limits.
SEBI Amends ISIN Framework for Private Debt Placements
SEBI has revised the permissible limits for issuing International Securities Identification Numbers (ISINs) for private placement of debt securities. Effective immediately, the threshold has been increased to streamline issuance and improve operational efficiency. Notably, Government of India External Benchmark-Linked Rupee (GoI EBR) bonds and Environment, Social, and Governance (ESG) debt securities have been excluded from the applicable ISIN limits.
The relaxation is intended to encourage broader participation in ESG financing and simplify issuance of benchmark-linked instruments. By removing ISIN constraints for ESG debt, SEBI supports sustainable finance initiatives and facilitates scalability of green and social bond programs. The exclusion of GoI EBR bonds reflects their status as sovereign-like instruments with minimal credit risk.
Legal and compliance teams must update internal tracking systems for ISIN generation. The move reduces administrative burdens for issuers and intermediaries, particularly in frequent-batch ESG issuances. It also signals regulatory support for sustainable capital market development.
