SEBI amends Research Analysts Regulations, making call recordings optional for communications with institutional investors from November 2026.
SEBI Eases Recording Norms for Research Analysts
SEBI has amended the Research Analysts Regulations, 2014, effective November 2026, to make call recordings optional for communications with institutional clients. The move aims to reduce compliance burden while preserving market integrity in analyst-investor interactions.
Previously, SEBI mandated recording of all telephonic communications under Regulation 16(2). The 2026 amendment retains the requirement for retail investor interactions but exempts calls with institutional investors, defined as those investing ₹1 crore or more. Firms must still maintain written records or minutes of such calls.
SEBI justified the change by noting that institutional investors possess greater market understanding and negotiation capacity, reducing the need for audio documentation. The regulator emphasized that other safeguards—such as internal monitoring and audit trails—will remain in place.
For legal advisors, this signals a risk-based approach to compliance. Firms should now adopt clear policies distinguishing institutional from retail communication protocols. Compliance systems must ensure that call categorization is accurate and defensible during inspections.
