Sixth Amendment Directions, 2026, streamline legal opinion requirements for Small Finance Bank clearing members under capital adequacy rules.
RBI Revises Legal Opinion Rules for SFBs
On October 7, 2026, the Reserve Bank of India issued the Reserve Bank of India (Small Finance Banks – Prudential Norms on Capital Adequacy) Sixth Amendment Directions, 2026, amending Paragraph 75(5)(i) of the 2025 Directions. The change modifies the obligation for clearing member Small Finance Banks (SFBs) to obtain external legal opinions.
The amendment follows a review that found the requirement to be overly burdensome relative to risk. The updated norm allows reliance on internal legal validation where institutions have established compliance mechanisms. The objective is to balance regulatory prudence with operational efficiency as SFBs scale up in financial inclusion.
Legal teams must revise onboarding templates and train compliance officers on the revised expectations. This reflects the RBI’s differentiated regulatory approach depending on institution size and systemic risk.
