RBI grants one-time approval for major shareholdings in Local Area Banks, Payments Banks, Small Finance Banks, and commercial banks for qualifying mutual funds, insurers, and pension funds.
Streamlined Shareholding Approval Across Bank Categories
The Reserve Bank of India (RBI) has introduced one-time approval mechanisms for subsequent major share acquisitions in Local Area Banks, Payments Banks, Small Finance Banks, and commercial banks. The relaxation applies to qualifying institutional investors—mutual funds, insurance companies, and pension funds—acquiring up to 10% additional stake, subject to specified conditions.
This policy shift aims to improve capital market participation by institutional investors while preserving oversight. Previously, each acquisition required separate prior approval, creating procedural delays. The new framework reduces compliance burden and enhances liquidity in niche banking segments.
For legal and financial advisors, this facilitates smoother M&A structuring and portfolio adjustments. However, conditions such as disclosure norms and fit-and-proper criteria remain applicable. Entities should verify eligibility and ensure adherence to the master directions governing respective bank categories.
