Fifth Amendment Directions, 2026, modifies capital adequacy norms for AIFIs by streamlining legal opinion requirements for clearing members.
RBI Streamlines Legal Opinion Norms for AIFI Clearing Members
On October 7, 2026, the Reserve Bank of India issued the Reserve Bank of India (All India Financial Institutions – Prudential Norms on Capital Adequacy) Fifth Amendment Directions, 2026. The amendment revises Paragraph 77(6)(i) of the 2025 Directions, which previously required clearing member financial institutions to obtain a legal opinion for certain exposures.
The revised norm aims to reduce procedural burden while maintaining prudential oversight. The RBI noted that the legal opinion requirement was duplicative in cases where institutions already had robust internal legal vetting mechanisms. The change aligns India’s framework with international best practices on regulatory efficiency.
Legal teams must reassess onboarding and due diligence workflows for clearing arrangements. This amendment supports efficiency in financial market infrastructure but does not diminish overall compliance expectations under capital adequacy norms.
