RBI has issued final Amendment Directions simplifying the approval process for mutual funds, insurance companies, and pension funds acquiring major shareholdings in banking companies.
Streamlined Approval for Financial Entity Share Acquisitions
The Reserve Bank of India has issued the ‘Reserve Bank of India (Acquisition and Holding of Shares or Voting Rights) Amendment Directions, 2026’, finalizing changes aimed at simplifying the approval process for subsequent acquisitions of major shareholdings in banking companies by mutual funds, insurance companies, and pension funds.
The final directions follow a draft version released on July 14, 2026, inviting public and stakeholder feedback until August 4, 2026. The amendments seek to reduce procedural delays while maintaining regulatory oversight under Section 12AA of the RBI Act, 1934. The focus is on enhancing market efficiency and enabling institutional investors to adjust their positions in line with portfolio strategies.
For legal practitioners advising financial institutions, these changes may reduce pre-acquisition compliance timelines. However, prior approval requirements remain for threshold breaches under the Banking Regulation Act, 1949. The move reflects RBI’s intent to balance ease of doing business with prudential regulation in the banking sector.
