RBI Revises Shareholding Norms for Commercial Banks

On October 1, 2026, the RBI issued the Reserve Bank of India (Commercial Banks – Acquisition and Holding of Shares or Voting Rights) Amendment Directions, 2026, updating the 2025 Master Direction. The amendments affect all commercial banks, including public, private, and foreign entities operating in India.

The revision introduces time-bound reporting for share acquisitions exceeding specified thresholds, mandates prior approval for any acquisition leading to a change in control, and strengthens the definition of 'promoter' and 'related person'. These changes are intended to prevent regulatory arbitrage and enhance transparency.

Corporate and banking lawyers should review ongoing M&A transactions and shareholder agreements for compliance. The amendments are part of a harmonised framework across bank types, also reflected in updates for Payments Banks, Small Finance Banks, and Local Area Banks.
