FEMA Compliance for UAE Business Investments: ODI & LRS Rules

October 14, 2026

Indian residents investing in UAE businesses must comply with ODI norms and LRS limits, including net worth caps, AD bank reporting, and UIN requirements.

Regulatory Framework for Indian Investments in UAE Enterprises

Indian residents seeking to invest in businesses in the United Arab Emirates must navigate a dual regulatory framework under the Foreign Exchange Management Act (FEMA), 1999: the Liberalised Remittance Scheme (LRS) for individual investments and Overseas Direct Investment (ODI) guidelines for corporate entities. The permissible investment limit under LRS remains USD 250,000 per financial year per individual, subject to Tax Collected at Source (TCS) and annual reporting via Form 15CA/CB.

For companies making ODI, the financial commitment is capped at 400% of net worth, with additional requirements for loan extensions, guarantees, and share subscriptions. Investments exceeding this threshold require prior RBI approval. All ODI transactions must be channelled through Authorized Dealer banks, which issue the Unique Identification Number (UIN) and file FC-GPR (Foreign Currency – General Permission Report) on the RBI’s FIRMS portal. Annual Performance Reporting (APR) and FLA (Foreign Liabilities and Assets) returns are mandatory.

Exit and Reporting Compliance

Exit from overseas ventures must be reported within 180 days of receipt of funds. Guarantees issued by Indian entities in support of overseas subsidiaries are subject to prudential norms and must be included in APR filings. Legal practitioners must ensure documentation of end-use of funds, business justification, and adherence to anti-money laundering standards to prevent scrutiny under FEMA enforcement proceedings.
