NCLT Chennai approved a ₹3.75 crore shareholder exit under Section 242 and permitted consequential capital reduction.
NCLT Chennai Approves Capital Reduction Post-Shareholder Exit
NCLT Chennai approved a consent-based exit of a shareholder under Section 242 of the Companies Act, 2013, and directed the cancellation of 3,999 shares with a proportional reduction in share capital within seven days. The order recognizes that capital restructuring can follow amicable resolution of shareholder disputes.
The case involved a petition alleging oppression and mismanagement, which was settled through a buyout. The tribunal held that once a shareholder’s interest is extinguished through a consented mechanism, the company must adjust its capital structure to reflect the change. This includes filing necessary returns with the Registrar of Companies (ROC).
“Capital reduction is a necessary corollary to the cessation of shareholding pursuant to a Tribunal-approved settlement.”
Legal advisors handling shareholder exit cases should integrate capital structure adjustments into the settlement framework. This decision streamlines post-resolution compliance and ensures statutory accuracy in capital reporting, avoiding future ROC penalties.
