SEBI Proposes Major SME IPO Reforms

On October 18, 2026, SEBI released proposed amendments to the ICDR Regulations to reform the SME IPO framework. Key proposals include market capitalization-based eligibility, a minimum operating profit of ₹3 crore, and a revised application size of ₹1 lakh.

The consultation paper also suggests modifying allotment norms to increase Qualified Institutional Buyer (QIB) allocation, revising lock-in conditions for promoters, and introducing single-share trading lots. SEBI further proposes streamlined migration rules from the SME platform to the main board, contingent on sustained compliance and market performance.

These proposals aim to enhance credibility and liquidity in the SME segment, which has struggled with low post-IPO performance and thin trading. Stakeholders are invited to comment by November 4, 2026. If implemented, the changes could significantly raise listing standards and investor confidence in SMEs.
