SAT Rules SEBI Can't Penalize for Pre-Acquisition Defaults

October 8, 2026

SAT quashes SEBI's Rs 6 lakh penalty on a corporate debtor, ruling that post-IBC resolution, pre-acquisition liabilities are extinguished.

SAT Bars SEBI Penalty for Pre-Acquisition Violations Post-IBC

The Securities Appellate Tribunal (SAT) has set aside a Rs 6 lakh penalty imposed by SEBI on a corporate debtor for regulatory defaults that occurred prior to a successfully completed insolvency resolution process. The NCLT-approved resolution plan had extinguished all pre-acquisition liabilities, which SAT held included pending regulatory penalties.

The tribunal ruled that post-resolution, the corporate debtor is a 'clean slate' entity, and enforcement actions based on past non-compliances cannot be sustained unless explicitly carried forward in the resolution plan. SAT cited its own precedent in Monnet Ispat and the Supreme Court’s endorsement of the IBC’s fresh start objective.

This decision has significant implications for buyers in IBC resolutions. It limits successor liability exposure and enhances the attractiveness of insolvency acquisitions. Legal advisors must ensure that resolution plans clearly address potential regulatory exposures, but can now rely on judicial support for extinguishment of unasserted claims.
