ROC Must Verify DIR-12 Documents Before Approval: P&H HC

The Punjab and Haryana High Court held that the Registrar of Companies must verify supporting documents filed under Rule 11 of the Companies (Appointment and Qualification of Directors) Rules, 2014, before approving or rejecting a DIR-12 form for director removal.

The bench emphasized that the ROC is not a passive recipient but a responsible authority obligated to examine the authenticity and compliance of submissions. Blanket rejections or approvals without scrutiny may prejudice stakeholder rights and lead to fraudulent alterations in the register of directors.

This ruling imposes a duty of active verification on the ROC. Legal practitioners should ensure that all DIR-12 filings are accompanied by complete and attested documentation. Challenges to improper approvals may now be based on procedural dereliction by the ROC.
