NCLT Confirms Liability of Corporate Guarantor despite Pending Actions against Borrower

June 2, 2026

In a significant ruling, the NCLT has stated that a corporate guarantor cannot avoid Corporate Insolvency Resolution Process (CIRP) obligations even if there are parallel proceedings against the principal borrower. This decision reinforces the co-extensive liability of guarantors under the IBC.

NCLT Admission of Default against Corporate Guarantor

The National Company Law Tribunal (NCLT) has admitted a ₹17.54 crore default against a corporate guarantor while asserting that such guarantors are not exonerated from the Corporate Insolvency Resolution Process (CIRP) due to concurrent legal proceedings against the principal borrower. This ruling reinforces the responsibility that corporate guarantors hold under the Insolvency and Bankruptcy Code (IBC).

The NCLT examined the provisions of the IBC that establish a corporate guarantor's liability as co-extensive with that of the principal borrower. The tribunal noted that, irrespective of the status of the borrower's proceedings, the obligations stemming from the guarantee would necessitate the initiation of insolvency proceedings.

This finding emphasizes the IBC's aim to provide a cohesive mechanism for creditor recovery, ensuring that guarantees serve their intended purpose despite separate disputes involving the borrower. This approach streamlines debt recovery processes and affirms the role of corporate guarantees in safeguarding creditor interests.

The implications of this ruling for legal practitioners are significant. It highlights the necessity for creditors to pursue all liability avenues in cases of default while preparing for simultaneous proceedings involving both borrowers and guarantors. The ruling mandates a reevaluation of insolvency strategies for creditors, particularly in drafting and enforcing corporate guarantees.
