NCLT Allahabad Waives Meetings for Roto Energy-Roto Pumps Merger

The NCLT, Allahabad, has sanctioned the first motion in the proposed amalgamation of Roto Energy Ltd into Roto Pumps Ltd, dispensing with the requirement for holding meetings of shareholders and creditors under Section 232(1) of the Companies Act, 2013.

The tribunal exercised its discretion under Rule 3 of the NCLT Rules, 2016, finding that all identified shareholders and creditors had consented to the scheme. It reiterated that dispensation is permissible where there is unanimous agreement and no material dispute over the scheme terms.

For legal practitioners, this reaffirms the utility of consent-based restructuring in closely held or group company mergers. Proper documentation of consents and creditor acknowledgements is essential to invoke dispensation under Section 232(1).
