FDI in India: Reporting and Compliance Guidelines

October 15, 2026

Complete guide to FDI rules: entry routes, valuation norms, FC-GPR, FLA reporting, downstream investment, and penalties under FEMA.

Framework for Foreign Direct Investment Compliance

The Reserve Bank of India’s regime governing Foreign Direct Investment (FDI) in India is anchored in the Foreign Exchange Management (Transfer or Issue of Security by a Person Resident Outside India) Regulations, 2026. The policy distinguishes between automatic and government approval routes, depending on the sector and ownership threshold.

Foreign investors must ensure pricing compliance based on internationally accepted valuation norms at the time of issuance. Form FC-GPR must be filed within 30 days of receipt of funds, and entities are required to submit annual FLA returns. Downstream investments via Indian companies are subject to strict reporting under Form FLA and require monitoring of ultimate beneficial ownership.

Legal professionals must verify documentation and timelines rigorously. Penalties for contravention may be levied under Section 13 of FEMA, and unreported inflows could trigger ED investigations if linked to round-tripping or illicit flows.
